Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the US Logist mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the App. These Terms constitute a legally binding agreement between you and US Logist ("we," "our," or "us").

2. Description of Service

US Logist is a mobile application designed for professional truck drivers that provides the following services:

• Trip management and tracking
• Load browsing and bid placement
• Real-time GPS location sharing with dispatch
• Document management (BOL, POD, cargo photos)
• Communication with dispatch, tracking, and accounting departments
• Financial management including balance tracking and Quick Pay requests
• Push notifications for load offers, messages, and payment updates

3. Account Registration

To use the App, you must register an account by providing accurate and complete information including your full name, phone number, photo, and truck details. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring all information provided is accurate and current

You must be at least 18 years old and hold a valid Commercial Driver's License (CDL) to use the App.

4. User Obligations

When using the App, you agree to:

• Provide accurate location data when your work status is active
• Upload genuine and unaltered BOL, POD, and cargo photographs as required during trip progression
• Follow the sequential trip status updates as required by the App
• Communicate professionally through the in-app chat system
• Honor the 15-minute hold period after placing a bid on a load
• Not share your account credentials with any third party
• Not attempt to reverse-engineer, decompile, or tamper with the App
• Not use the App for any illegal or unauthorized purpose
• Comply with all applicable federal, state, and local laws and regulations

5. Location Services

The App requires access to your device's location services to function properly. By enabling location services, you understand and agree that:

• Your GPS coordinates will be transmitted to our servers every 5 minutes when your status is "Available" or when you have an active trip
• Location data is used for dispatch coordination, trip tracking, and fleet management
• Location tracking continues in the background when you have an active trip
• You may disable location sharing by setting your work status to "Off" (not available during active trips)

6. Financial Terms

6.1 Earnings

Trip earnings are calculated based on the rate per mile agreed upon when accepting a load. The App displays your available balance, blocked balance, and complete transaction history.

6.2 Quick Pay

You may request accelerated payment through the Quick Pay feature, subject to a 3% processing fee. Upon requesting Quick Pay:

• The requested amount moves from your available balance to blocked balance
• The accounting department sets the payout date
• A pending transaction record is created and updated upon completion

6.3 Standard Payment

Standard payments are processed within 5 business days without additional fees.

7. Bidding and Load Offers

When placing bids on available loads:

• After submitting a bid, you enter a 15-minute hold period during which you should not accept loads from other dispatch companies
• Bids are binding and represent your commitment to haul the load at the specified rate if accepted
• Dispatcher offers appear as modal notifications and require your explicit acceptance or rejection
• You may provide comments with your bids and offer responses

8. Document Upload Requirements

The App requires photo documentation at specific stages of each trip:

• Loading: Cargo photos and Bill of Lading (BOL) must be uploaded before changing status to "Loaded"
• Unloading: Proof of Delivery (POD) and unloaded cargo photos must be uploaded before changing status to "Unloaded"

Photos must be clear, legible, and accurately represent the cargo and documents. Uploading falsified or misleading photos is prohibited and may result in account termination.

9. Intellectual Property

The App and its entire contents, features, and functionality (including all information, software, text, displays, images, and design) are owned by US Logist and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

10. Account Termination

We reserve the right to suspend or terminate your account at our sole discretion if:

• You violate these Terms of Service
• You provide false or misleading information
• You engage in fraudulent activity
• You upload falsified documents or photos
• You behave inappropriately through the communication features

You may also request deletion of your account at any time through the App settings or by visiting our account deletion page.

11. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE APP.

We are not responsible for any delays, delivery failures, or other damages resulting from the use of our App, including GPS accuracy, network connectivity issues, or push notification delivery delays.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL US LOGIST BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE APP.

13. Indemnification

You agree to indemnify and hold harmless US Logist and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with your access to or use of the App, or your violation of these Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page and may notify you through the App. Your continued use of the App after any changes constitutes acceptance of the new Terms.
